2. THE AGREEMENT

2.1 This Agreement is formed when Amanat Vaults accepts the Customer's Registration Form and receives the Deposit and first Term's Fee in cleared funds. Amanat Vaults may decline any application without providing a reason.

2.2 The Customer must provide satisfactory proof of identity as required by Amanat Vaults at the time of registration and at each visit to the facility. The Customer must present a valid, unexpired Emirates ID or Passport before access is granted. Any change to registration details, or renewal of identification documents, must be notified to Amanat Vaults within 30 days. Amanat Vaults reserves the right to deny access if identification cannot be verified to its satisfaction.

2.3 This Agreement is non-transferable. The Customer may not register an account on behalf of any third party unless acting as the designated signatory of a legal entity Customer.

3. FEES & PAYMENT

3.1 The Deposit and first Term's Fee are payable before or on the Start Date. All Fees are non-refundable and non-proratable once a Term has commenced.

3.2 This Agreement renews automatically for the same Term unless terminated in accordance with Section 10. The Customer authorises Amanat Vaults to debit their registered payment method on or before the Due Date of each renewal. Amanat Vaults may update its Fee schedule at any time. Updated fees apply from the next renewal.

3.3 The Deposit is refundable upon termination, provided both (2) original keys are returned undamaged, all contents are removed, the SDB is undamaged, and all amounts due have been settled in full.

3.4 All Fees are subject to VAT at the applicable rate. AutoPay is available via the Customer's online account to automate renewal payments. Fees and Business Hours are published on the Amanat Vaults website or as otherwise communicated by Amanat Vaults in writing.

4. LATE PAYMENT

4.1 All Fees are payable by the Due Date as published or invoiced. Where any sum remains outstanding thereafter, a daily charge of AED 10 shall accrue until full settlement is received, and Amanat Vaults may suspend access to the SDB without further notice. Reinstatement is at Amanat Vaults’ discretion upon receipt of all outstanding amounts. During any period of suspension, Amanat Vaults’ obligations in respect of the SDB and its contents shall be suspended until all outstanding amounts have been settled in full.

5. KEYS

5.1 Two keys are issued to the Customer at the Start Date. An Amanat Vaults staff member must be present with the facility security key each time the SDB is accessed. The Customer must not copy the keys; any copies will not be accepted, may be confiscated and destroyed, and if returned at termination in place of originals, Amanat Vaults reserves the right to charge the Customer the full cost of lock replacement.

5.2 Both original keys must be returned upon termination. Failure to return both keys results in full forfeiture of the Deposit. A new Deposit is required before replacement keys are issued. If a key is lost, the Customer must notify Amanat Vaults immediately through their online account or in person. A lock replacement appointment will be arranged at the Customer's cost; failure to attend a scheduled appointment will incur a rescheduling fee.

6. ACCESS

6.1 Access is permitted during Business Hours only, as published on the Amanat Vaults website or as otherwise communicated, and is subject to change without notice. Amanat Vaults may require appointments and may limit the number of simultaneous visitors. Amanat Vaults may carry out maintenance to the SDB or facility at any time without prior notice and without liability.

6.2 Amanat Vaults may restrict or deny access at any time where it considers this necessary, including in circumstances involving outstanding fees, court or authority orders, KYC requirements, unsafe or hazardous conditions, or where required to comply with estate, tax, succession, or other applicable laws and regulations. Amanat Vaults is not liable for inability to provide access due to maintenance, renovation, landlord instruction, lock or door failure, power failure, or any circumstance outside its control.

6.3 Amanat Vaults operates CCTV monitoring throughout its premises for the safety and security of all customers and their stored items. The Customer and any authorised visitors to the facility acknowledge this monitoring and agree that footage may be retained for a minimum of three (3) months from the date of recording and may be relied upon in the resolution of any dispute or legal proceedings.

6.4 Amanat Vaults operates from its current premises with the intention of maintaining long-term continuity for its Customers. Should circumstances wholly beyond Amanat Vaults’ reasonable control ever require Amanat Vaults to relocate its facility or any SDB to an alternative location within the UAE, Amanat Vaults will provide no less than sixty (60) days’ prior written notice through the registered contact channels. All SDB contents will remain secured and under Amanat Vaults’ full care and custody throughout any such process, which will be conducted under appropriate security protocols. The Customer acknowledges that a relocation carried out in accordance with this clause does not constitute a breach of this Agreement, and Amanat Vaults shall not be liable for any inconvenience arising solely from such a relocation.

6.5 Amanat Vaults recognises that certain Customers may require access to their SDB or related support outside of standard Business Hours in exceptional or urgent circumstances. Where such a requirement has been discussed, pre-arranged, and confirmed in writing with Amanat Vaults, every reasonable effort will be made to accommodate the request. Such arrangements are made on a case-by-case basis, subject to availability and operational capability, and do not constitute a modification to standard Business Hours or a standing commitment on the part of Amanat Vaults. Amanat Vaults shall bear no additional liability in connection with any services provided outside of Business Hours.

7. AUTHORISED NOMINEES

7.1 The number of Nominees a Customer may register is determined by their account tier as assigned by Amanat Vaults. The Customer must be physically present to add a Nominee; the Nominee must also attend in person if not nominated at the time of initial registration. Nominees are subject to the same obligations and restrictions under this Agreement as the Customer.

7.2 Nominees may only access the SDB in the presence of an Amanat Vaults staff member and have no ownership or control rights. The Customer remains fully responsible for all actions of any Nominee. A Nominee may be removed at any time by written notice from the Customer to Amanat Vaults.

8. EMERGENCY CONTACT

8.1 The Customer may designate an emergency contact on their Registration Form. The emergency contact has no authority to access the SDB under any circumstances and will only be contacted if the Customer and all registered Nominees are unreachable. Designating an emergency contact does not grant that person any rights under this Agreement.

9. CONTENTS & PROHIBITED ITEMS

9.1 The SDB is provided for the lawful storage of personal valuables and documents. The Customer confirms that all items stored in the SDB are lawfully in their possession.

9.2 The SDB is designed for the secure storage of lawful personal valuables, documents, and items of a similar nature. By entering into this Agreement, the Customer agrees not to store, allow any other person to store, or store on behalf of any other person, any of the following: anything illegal, offensive, immoral, obscene, indecent, defamatory, slanderous, or libelous; firearms, ammunition, explosives, or weapons of any kind; drugs, narcotics, chemicals, or hazardous, noxious, poisonous, corrosive, pressurised, or inflammable substances; plants or plant materials; living organisms; proceeds of crime, prostitution, drug trafficking, or terrorism; anything subject to any ban, embargo, or import restriction under UAE law; or anything which will or may cause any harm whatsoever to any person, the SDB, Amanat Vaults' premises, employees, agents, contractors, customers, or visitors. The Customer further agrees not to use the SDB for any dangerous, unlawful, or nuisance purpose.

9.3 Amanat Vaults may inspect the SDB in the Customer's presence if it suspects a prohibited item. If found, Amanat Vaults may surrender such items to the relevant authorities without liability, and the Customer forfeits all rights to them. The Customer irrevocably and unconditionally undertakes to fully indemnify Amanat Vaults and to pay Amanat Vaults for all costs, charges, expenses, claims, or damages that Amanat Vaults incurs, or which are made against Amanat Vaults, arising from any breach by the Customer of this Agreement or in respect of any harm, damage, or loss that Amanat Vaults or any of Amanat Vaults' employees, agents, contractors, customers, or visitors to Amanat Vaults' premises may suffer, including all legal costs and expenses.

10. TERMINATION

10.1 This Agreement renews automatically for the same Term unless terminated by the Customer in accordance with this Section. To terminate, the Customer must attend the Amanat Vaults premises in person, return both keys in good condition and undamaged, remove all contents, return the SDB in an undamaged state, complete all required documentation, and settle all outstanding amounts. Termination takes effect only upon written confirmation from Amanat Vaults. Non-use of the SDB or absence from the UAE does not constitute termination.

10.2 Upon termination: all outstanding sums become immediately due and payable; all access rights of the Customer and any Nominees cease immediately; and the Customer must return all keys and access items. The termination of this Agreement does not affect any rights or liabilities accrued prior to termination, and all provisions intended to survive termination shall continue in full force.

10.3 Amanat Vaults may terminate this Agreement by giving 15 days' written notice, or immediately without notice if the Customer is in material breach, stores prohibited items, becomes bankrupt or insolvent, or if directed by a competent authority.

11. ACCOUNT ADMINISTRATION

11.1 Amanat Vaults maintains records of each Customer's account, including all charges, payments, and balances under this Agreement. The Customer is responsible for settling all amounts due by their Due Dates in accordance with Sections 3 and 4.

11.2 Where any amount remains outstanding, Amanat Vaults will engage with the Customer through the registered contact channels under Section 15 to seek resolution. The Customer is responsible for keeping their contact details current and responding in a timely manner.

11.3 Where any sum remains unpaid for one hundred and twenty (120) days following the relevant Due Date (including Due Dates arising from automatic renewal), Amanat Vaults shall be entitled to take the necessary legal action without prior notice.

11.4 Where the Agreement has otherwise come to an end and contact with the Customer under Section 15 has been unsuccessful, Amanat Vaults shall be entitled to break-open the SDB in the presence of an independent witness, whose signature on an inventory shall constitute conclusive evidence of its contents, and to sell or otherwise deal with such contents to settle the Customer's account.

11.5 Amounts recovered shall be applied in the following order: (i) outstanding rent and late payment fees; (ii) administrative and lock replacement fees; (iii) additional services charges; and (iv) legal fees. Amanat Vaults may recover any shortfall directly from the Customer, including by deduction from the Deposit.

11.6 Any balance shall be held by Amanat Vaults for two (2) months, during which the Customer or their lawful representative may claim it upon presentation of satisfactory identification. Any balance unclaimed thereafter, and any items not disposed of, shall be retained or held by Amanat Vaults at its discretion. Amanat Vaults shall bear no liability to the Customer or any third party in connection with any action taken under this Section.

12. CARE, CUSTODY & INSURANCE

12.1 Amanat Vaults applies appropriate physical, operational, and security controls to safeguard the facility and the SDBs at all times. Given the confidential nature of the Service, Amanat Vaults does not inspect, value, or maintain any record of the contents of any SDB.

12.2 Amanat Vaults’ responsibility under this Agreement does not extend to: (a) any loss or damage arising from the Customer’s own act, omission, or breach of this Agreement; (b) circumstances beyond Amanat Vaults’ reasonable control, including natural disasters, force majeure, power failure, ordinary wear and tear, or atmospheric or climatic conditions; (c) the acts of third parties acting outside Amanat Vaults’ authority or control; (d) any deterioration in the quality, quantity, or value of items placed inside the SDB; (e) any cash deposited in the SDB; or (f) any loss to the extent covered by insurance available to the Customer or otherwise applicable. Should the SDB be left open inadvertently by the Customer or any Nominee, Amanat Vaults shall not be held responsible for any missing or damaged contents.

12.3 Where an Amanat Vaults employee handles the SDB liner or any of its contents at the Customer’s request as a courtesy, that employee acts solely as the Customer’s agent, and the Customer waives any right to recover from Amanat Vaults or that employee for any loss arising from such handling.

12.4 Amanat Vaults shall not be responsible for any loss resulting from acts carried out in an unauthorised manner and outside the scope of its operational procedures.

12.5 Amanat Vaults maintains a master insurance policy with its appointed insurance partner providing standard coverage to each SDB held under an active and fully paid rental, on the terms, limits and conditions of the policy in force from time to time; a summary is available on written request. The Customer may obtain increased coverage at their own cost, and Amanat Vaults will arrange for the insurer to issue a Certificate of Insurance in the Customer's name. Amanat Vaults is not an insurer and acts solely as facilitator of the insurance arrangement. All claims in respect of any loss, damage or deterioration of items stored in the SDB shall be made solely against the insurer under the applicable policy, and no such claim shall be brought against Amanat Vaults, regardless of cause and regardless of whether the loss is covered or paid by the insurer. By signing this Agreement and continuing to use the Services, the Customer accepts this arrangement as the sole and exclusive remedy. Failure to elect increased coverage shall be conclusive acceptance of the standard coverage as adequate. Coverage applies only while the Agreement is active and all amounts are paid in full and on time, and is not retroactive.

12.6 Neither party shall be liable for indirect or consequential losses. If any provision of this Agreement is found to limit Amanat Vaults’ liability in a manner prohibited by applicable law, it shall be enforced to the fullest extent permitted by that law.

13. DEATH, INCAPACITY & BENEFICIARY

13.1 In the event of the Customer's death or mental incapacity, the SDB will not be opened without (i) a death certificate, and (ii) where the SDB has no registered Beneficiary, a court order or succession certificate from a competent UAE authority. If a Beneficiary has been registered via the Amanat Vaults Beneficiary Form, they may be authorised to access the SDB upon identity verification and full settlement of outstanding fees. The surviving Customer(s) and any personal representatives jointly and severally agree to indemnify, exonerate, and hold Amanat Vaults harmless from and against all claims, losses, liabilities, damages, and expenses of any nature, whether groundless or not, arising from or connected with access to the SDB or removal of its contents following notice of the death or incapacity of a Customer. Each Customer individually acknowledges that Amanat Vaults and its employees will have no liability in connection with such access or removal.

13.2 A registered Beneficiary may also be authorised to act in the event the Customer permanently departs the UAE, provided the Customer or their representative submits official documentation confirming the departure, such as a visa cancellation notice, deportation order, or equivalent documentation issued by a competent UAE authority. Amanat Vaults reserves the right to request any additional documentation it deems necessary before granting access to the Beneficiary.

14. RECORDS

14.1 Amanat Vaults may retain and maintain all Records electronically or by any other means it deems appropriate throughout and after the Term. Records are maintained solely for Amanat Vaults' benefit and the Customer has no proprietary rights in them. Printouts, copies, electronic versions, and telephone recordings of the Records shall constitute conclusive and binding evidence of any communications and transactions between the Customer and Amanat Vaults, and may be relied upon in any court or legal proceedings, subject to any right expressly granted to the Customer under these Conditions to dispute their accuracy.

14.2 The Customer waives any right to request the auditing or production of Records, except to comply with an order of a court or relevant authority. If Amanat Vaults declines an application, the application and supporting documents become part of the Records and will not be returned to the Customer.

15. COMMUNICATIONS

15.1 All communications are sent to the Customer's registered email or address. The Customer is responsible for keeping contact details current. Communications sent by email are deemed received the day following transmission; by post, on the second working day after dispatch; by courier, on the date the delivery receipt is signed. Communications via the Amanat Vaults online platform constitute formal written notice.

16. DATA PROTECTION

16.1 Amanat Vaults processes Customer personal data in accordance with applicable UAE data protection laws, including the UAE Personal Data Protection Law. Customer data is collected and used solely for the purposes of account management, access verification, and regulatory compliance, and will not be shared with third parties except as required by law or as necessary to provide the Services. Amanat Vaults complies with applicable UAE anti-money laundering legislation and may be required by law to report certain activity to the relevant authorities.

17. GENERAL

17.1 This Agreement is personal to the Customer and may not be assigned or transferred without Amanat Vaults' prior written consent. No failure or delay by Amanat Vaults to enforce any provision constitutes a waiver of its rights. If any provision is found invalid or unenforceable, the remaining provisions continue in full effect. The Customer's rights are those of a licensee only, conferring no ownership of the SDB or the premises. Where a Customer holds multiple SDBs, each SDB constitutes a separate rental under this Agreement with its own Deposit, keys, and obligations. Termination or default in respect of one SDB does not affect the Customer's obligations under any other SDB, unless Amanat Vaults determines otherwise at its sole discretion.

17.2 Amanat Vaults may amend these Conditions at any time. Updates will be posted on the Amanat Vaults website or communicated in writing.

17.3 Neither party shall be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including acts of God, pandemic, natural disasters, power failure, cyber disruption, or government action.

17.4 The parties may, where mutually agreed, attempt resolution of any dispute through good-faith discussion before initiating formal legal proceedings. Nothing in this clause shall restrict either party’s right to seek urgent or interim relief from a competent court.

18. JOINT ACCOUNTS & LEGAL ENTITIES

18.1 Joint Customers are jointly and severally liable for all obligations under this Agreement from the date of signing. At registration, Joint Customers must elect one of the following access types: (a) Independent Access — either Joint Customer may access the SDB individually; or (b) Joint Access — both Joint Customers must be present simultaneously to access the SDB.

18.2 If a dispute arises between Joint Customers, Amanat Vaults may suspend access to the SDB until the matter is resolved by mutual agreement, court order, or legal directive, and shall bear no liability in doing so.

18.3 Either Joint Customer may initiate termination of this Agreement; however, Amanat Vaults reserves the right to require written confirmation from all Joint Customers before termination is finalised, unless a court order or legal directive authorises one party to act alone.

18.4 In the event of the death or incapacity of a Joint Customer, the surviving Joint Customer(s) shall retain full access and assume all obligations under this Agreement, unless a court order directs otherwise. Amanat Vaults shall bear no liability for access granted to a surviving Joint Customer acting in apparent authority.

18.5 Where the Customer is a legal entity (including a body corporate, government entity, public authority, or non-governmental organisation), the Customer must provide such entity documentation as Amanat Vaults may require, which may include a valid trade licence, government authorisation letter, memorandum of association, or equivalent. The designated signatory warrants that they have full authority to bind the entity under this Agreement.

18.6 Access to the SDB by a legal entity Customer is restricted to the designated signatory and any registered Nominees. Any change to the designated signatory must be made in person and supported by updated entity documentation.

18.7 The Customer shall ensure that all entity documentation remains valid and current throughout the Term. Where any such documentation lapses or is not renewed, Amanat Vaults may suspend access to the SDB until updated documentation is provided. Amanat Vaults may also freeze access upon becoming aware of the Customer’s insolvency, liquidation, or appointment of a liquidator or administrator, pending receipt of a court order or written instruction from the appointed representative.

19. GOVERNING LAW & JURISDICTION

19.1 This Agreement is governed by the Federal Laws of the UAE and the laws of the Emirate of Sharjah. All disputes are subject to the exclusive jurisdiction of the Sharjah Courts. The Customer irrevocably submits to that jurisdiction and waives any objection on grounds of inconvenient forum.
